What kind of document is a sales contract?
A sales contract is a document that contains a promise to transfer ownership of an item and receive payment for it. From second-hand transactions between individuals to disposal of machinery, equipment, and inventory assets, it is better to leave documentation if the amount is even a little large.
There are three key points: Is it written down to specify what the target is? Are the price and payment time set? When and where will it be delivered and to whom will ownership and risk be transferred at that time? If these three are blurred, the remaining provisions are of no use, no matter how long they are.
If it is a used product, be sure to determine the scope of defect coverage. An agreement to sell “as is” is also valid, but it does not exempt the seller from defects that he or she knowingly concealed. If you split the payment receiptIf payment is delayed, each round is left with Proof of contentsThe best flow is general.

I recommend this to people like this
Parties involved in second-hand transactions between individuals
If the amount is large and you want to leave a document behind.
Business operators who dispose of equipment and machinery
When it is necessary to determine the current delivery conditions and scope of defects.
Those who acquire inventory and assets
When you need to confirm the quantity and status in documentation and set a condition for the balance.
Parties to installment payment transactions
Cases where the down payment, interim payment, and balance schedule must be clearly stated.
Things you can easily miss when writing
01Write down your objective so that others can read it. It is most certain if there is a manufacturer, model name, year of manufacture, and serial number.
02In the status field, write down the defects you identified. Hidden defects become bigger liabilities later.
03Write down the date for each payment and leave a receipt each time you receive it.
04Don’t forget the delivery location and who will pay the shipping costs. Half the battle begins here.
05Send and receive money via bank transfer and keep records. Cash transactions make it difficult to prove payment.
Frequently Asked Questions
Can I use it for real estate sales?
Not recommended. Real estate requires separate registration transfer procedures, taxes, and mortgage cancellation, so it is safer to use a dedicated form and get confirmation from a real estate agent. This form was created based on the premise of transactions of movable property and general goods.
If I write that it is being sold “as is,” is there any liability?
You can narrow it down to some extent, but it doesn't completely absolve you. The seller remains responsible for any defects that he or she knew about but did not disclose. It is safer for both parties to write down identified defects in a special contract.
What if I say I won’t sell after receiving the down payment?
Unless otherwise agreed upon, the deposit is considered a surrender charge. The buyer can cancel the contract by giving up the deposit and the seller asking for the double amount. However, this method cannot be used after the other party has already started implementation.
What does risk transfer mean?
The issue is who bears the loss when an item is accidentally broken. Usually, it is decided that it will be transferred to the buyer at the time of delivery. If you are worried about damage during transportation, write down the shipping method and burden in the special contract.
Is what I write saved on the server?
It is not saved. The information you enter and the uploaded stamp photo are processed only within the browser, and PDF and Word files are also created on the user's device.
This is general information for guidance purposes, and transactions that require registration, such as real estate or automobiles, require a dedicated form and separate procedures.
